What exactly is a Patent Assignment?
Patent assignment is the legal transfer of the ownership of a patent from one party (the Assignor) to another party (the Assignee).
Unlike a License (where you only give permission to use the invention), an Assignment is a total transfer of title. It is essentially the "Sale" of the intellectual property. This can be voluntary (sale) or compulsory (by law/court order).
For an assignment to be legally valid and enforceable, it must be in writing, signed by both parties, and most importantly, recorded with the Patent Office. Failure to record the transfer can leave the new owner unable to legally enforce their rights against infringers.
Types of Patent Assignments We Handle

1. Full Assignment (Total Transfer)
The complete transfer of all rights, titles, and interests in the patent. The original owner ceases to have any claim over the invention.
2. Partial Assignment (Segmented Rights)
Transferring rights for only a specific field of use, a specific territory, or a specific set of claims within the patent. This allows the owner to monetize different parts of an invention separately.
3. Employer-Employee Assignment
Ensuring that inventions created by employees during the course of employment are legally transferred to the company, preventing future ownership disputes.
Our Transfer Workflow
A secure transfer requires more than just a signature. Our strategic process involves:
- Due Diligence: We verify the current title of the patent to ensure the assignor actually has the legal right to sell it.
- Drafting the Deed: Creating a custom Assignment Deed specifying consideration (payment), warranties, and the exact scope of rights transferred.
- Official Recordal: Filing the necessary forms and the stamped deed with the Patent Office to update the official Register of Patents.
We provide the "Certificate of Recordal," which serves as the ultimate proof of ownership for the new owner.
The "Double Assignment" Trap
If a patent is assigned to Party A, but the transfer is not recorded, the assignor might maliciously or accidentally assign the same patent to Party B.
In such cases, the party who records the transfer first generally has the stronger legal standing. Immediate recordal is the only way to protect your investment.
